All work carried out, whether experimentally or otherwise, at the client’s request, will be charged. Image Matters quote set fees for each stage of a project. Should there be a change to the nature of the project, and additional work is required, further fees will be charged. Wherever possible Image Matters will advise the client of these changes prior to them being incurred. Any work requested and not completed within 30 days shall then be entitled to payment for work already carried out, materials specially ordered and other additional costs.
Should a project commissioned by the client be canceled, Image Matters reserves the right to invoice costs incurred to date together with any costs associated with the orderly close down of the project.
Costings are based on current production charges and, unless otherwise agreed, are subject to amendment on or at any time after acceptance to meet any rise in such costs.
Delays in Production
Should work be suspended at the request of or delayed through any fault of the client for a period of 30 days or more, Image Matters shall then be entitled to payment for work already carried out, materials specially ordered and any additional costs to date.
Terms of payment
Strictly 30 days nett from the issue of the invoice. Thereafter a charge of 5% per month or part month may be added to any overdue accounts. Any query relating to the invoice must be raised, in writing, with the Managing Director within seven working days of the date of invoice, after which time invoices will be deemed to be correct for payment.
Image Matters will provide proofs of work wherever possible to the client at relevant stages and Image Matters shall incur no liability for any errors not corrected by the Client in proofs so submitted. Client’s alterations and additional proofs necessitated thereby shall be charged extra. When style, type or layout is left to the judgment of Image Matters, changes therefrom made by the client will be charged extra.
Sub-Standard Client Submissions
A charge may be made to cover any additional work involved where any material such as copy or artwork, photography etc. supplied by the client to Image Matters is not clear and legible, is not of a standard suitable for its intended use, or supplied in a non-compatible format. No alterations will be accepted verbally, all changes/alterations must be clearly advised in writing/fax. Image Matters will notify the client prior to the work being conducted, in order to attempt to gain access to more useable material.
Any information supplied to Image Matters by the client regarding the project is deemed confidential and will not be disclosed without permission. Likewise, all recommendations, designs, reports etc. supplied by Image Matters should also be considered confidential by the client.
All computer stored artworks and associated documentation remain the property/copyright of Image Matters even after full payment and will only be released on negotiation. These are retained for a maximum period of 12 months from origination.
Copyright and Ownership
The copyright of all design work, artwork, design, typesetting, screening and preparation of print remains the property of Image Matters unless otherwise agreed in writing. Image Matters will discuss terms for the transfer of the copyright to the client if required. Any unauthorised development of work arising from material supplied by Image Matters shall be seen as a breach of copyright. Ownership of the design material will transfer to the client on the final payment of the project costs. Commissioned photography, illustration and copywriting, both the copyright and the ownership remain with the originator unless otherwise agreed in writing.
Image Matters shall not be liable for any loss to the client arising from delay for any reason, or errors by any party.
Image Matters will be indemnified by the client in regard to any claim, cost or expense which may arise from the infringement of any copyright or publication of any libelous matter contained in material produced for the client.
Clients’ property and all property supplied to Image Matters by or on behalf of the client shall, while it is in the possession of Image Matters or in transit to or from the client, be deemed to be at the client’s risk unless otherwise agreed and the client should insure accordingly.
Printed work will be produced according to the standard conditions of the British Printing Industries Federation and our clients are bound by these conditions. Print quotations are conditional on acceptance of 10% overs or unders (to be charged extra or deducted from the final invoice as appropriate).
These conditions of contract shall be interpreted according to the laws of England.
